We are pleased to report we have now submitted the necessary documents for Ciralight Global to begin trading in the public markets. We have also selected a Transfer Agent to perform the regulatory details for Ciralight Global freely tradable stock certificates to be reissued with the necessary certification to deposit into brokerage accounts.

We have taken great strides to see that all requirements and applications have been thoroughly completed. We have been told by our Wall Street market maker that we can expect the trading date to be as soon as six weeks but most likely no later then twelve weeks.
We caution you to seek advice from your tax professionals and advisors concerning the tax consequences and considerations of selling your shares. The price of any new company, when it starts publicly trading, can be extremely volatile and may trade higher or lower than the fair value of the company at that given moment. Newly traded stocks often take time to establish value and stability.
As a publicly traded company, we (Ciralight Global's management) are required to follow industry regulations when we announce breaking news. This can cause sudden movements in the stock price. In the future, we will refrain from releasing newsworthy developments, unless it's done in the form of a press release. We realize there may be many questions these next few weeks as we get closer to our début on Wall Street. Many of you have indicated an interest in purchasing even more stock in Ciralight Global as we continue to grow and move forward. Any questions you have concerning Ciralight Global stock or purchasing additional stock may contact Dave Broderick. We have appointed Dave as our Investment Broker to assist our shareholders, and others who are interested in acquiring more stock. He has amassed over 22 years experience as a Securities Advisor working for three of the top Wall Street powerhouses, including Smith Barney Citigroup, Merrill Lynch and UBS Financial Services. We are fortunate to have him as we transition to a publicly traded company and provide Ciralight shareholders with his advice as an experienced Securities Consultant.
We are extremely busy at Ciralight Global and are working on some very exciting developments. We want to thank all our Shareholders for the confidence you have placed in us as we have worked diligently to bring these wonderful Ciralight products to market.
While it was our initial intention and expectation to start the stock trading soon after we were approved by the SEC to become a public company last August, we decided it would be best to hold off until we had more time to establish a track record and a strong base of business activity that can support a path of growth in the value of our stock.
In 2010, we shipped 1750 units. Our customers include several Fortune 500 companies, as well as government entities. We have only begun to touch the tip of the iceberg. The market for Ciralight Global's products is huge. We are continuing to build a network of dealers around the world. Our products work with unprecedented accuracy using the most sophisticated circuitry and state-of-the-art components. We have an "Industry Standard" warranty on our products for 10 years, yet they have been tested under extreme conditions to have a life that extends for 30 years.
We have added to our product line the 4'x 8' Smart Skylight, which is now being shipped. The number of buildings with existing, outdated 4'x 8' skylights is endless. This product will have huge revenue possibilities for us. Many companies have encouraged Ciralight Global to offer a larger version of our Suntracking Skylights with these specifications.
In addition, we will have a line of Suntracking Smart Skylights for the residential markets that could be sold at large building material outlet stores. Again, this will open up new revenue opportunities for Ciralight Global.
Our operating expenses continue to be extremely low. As the demand for manufacturing increases, we will create even better cost efficiencies. We have also continued to keep expenses down by compensating our sales people based on performance (sales). We have over 60 dealers throughout the United States and are adding more weekly.
2011 is going to be a huge year for Ciralight Global. Our revenues are expected to grow over 400% from 2010.
After a year and a half of going through due diligence with Firestone Building Products in which they reviewed, analyzed and inspected our Smart Skylight product from top to bottom, we are now finalizing a contract with them. Under the contract, Firestone Building Products, a division of Bridgstone Tire Co., will be selling our Smart Skylights under the Firestone private label through its Roofing Industry channels, worldwide. This contract with Firestone will generate strong sales and instant credibility for our company and products. We expect to sign a contract with Firestone within a few weeks. This is the kind of business activity we were waiting for that will grow our company and support the value of the stock.
In addition to Firestone, we are in final contract negotiations with Eaton Corporation. Eaton Corporation is a lighting control and electrical company that does nearly $18 billion in annual sales. Under the contract, Eaton will sell our Smart Skylights under the Eaton brand label through its lighting and electrical industry channels, worldwide.
In addition to Firestone and Eaton, we are working on a third potential private label agreement that will involve an additional distribution channel. This opportunity is on a fast track, but is still early in the process and thus we will make a full announcement with more specifics in the future. The company involved is even larger than Firestone and Eaton.
All of these agreements in addition to our own international and domestic dealer network are expected to provide a secure foundation for significant growth in the remainder of the year and future years.
Working capital needed for the increase in orders is escalating as we purchase the additional materials needed to fill these orders. We don't ship our products until we are paid, but we have to front the cost to make the product before we ship.
Our biggest challenge in 2011 is the "working capital" required to keep up with sales. I'm not comfortable with the current working capital balance at Ciralight Global. Additional working capital will be necessary to fill the growing orders. There are three ways to solve this need: 1) Borrow from a bank. 2) Accept Investment Company's offer to invest $1.5 Million at 0.75 per share. An investment company offered to raise funds through purchasing our stock. The $.75 per share was based on their expertise and judgment of the stock values based on current numbers. With positive announcements forthcoming which may affect the stock value, we believe this kind of deal is premature and would provide a greater benefit to the company in the future. This would require we delay filing to be public trading for about six months.
3) File to start our stock trading now and while this application is being processed do an interim $500,000 Ciralight stock offering to Shareholder's, Dealers, and friends. Then, after a number of significant announcements, and the successful delivery of our sales projections; the possibility of going with somebody such as the investment company at a higher price, may be a good option.
Our current offering will end when Ciralight Global stock starts trading (approximately six to twelve weeks), depending on time required to process the application. The clock started ticking on April 26, 2011, the date we submitted all the required documents to FINRA.
We will offer Ciralight Stock to shareholders and friends only during this small window of time before we start trading. We will not be advertising this offering. Because of all the developments and successful accomplishments we have had, we feel the value of Ciralight Global is much higher than it was a year ago. Based on the growth we expect in 2011, the value of Ciralight Global is expected to continue rising. Our current offering will be at $.50 a share. We are very aware that this could mean some shareholders might sell when the stock starts trading. This may create excitement and attract activity to Ciralight Global's stock.

As the year draws to a close, I want to share with you the many positive events that have and are continuing to occur at Ciralight.
Our global sales are expanding, and we expect to reflect that in our balance sheet come the first quarter of 2011. We have also added several new employees to our staff, a sign we are growing our Company according to our business plan.
- We have been told our contract with Firestone Building Products has been approved and will be in our possession in the next few days. This will be a significant development for our bottom line over the next 12 months.
- We have received the green light by Walgreens to include our Smart SkylightsTM in their next new store in Goodyear, AZ, andexpect to receive an order for multiple units in the near future. Walgreen's has 7,650 stores nationwide.
- We have similarly received approval for a new West Marine Store in Honolulu where they will be installing 39 Smart SkylightsTM. West Marine already has 35 of our units installed in a store in Jacksonville, FL. West Marine has 330 outlets in 38 of the United States.
- We have received an order for 86 units from Freightliner, a major truck manufacturer, located in Tolleson, AZ.
- In Belgium, where we've installed 60 units, we are told we may look forward to an order for an additional 200 of our Smart Skylights™ to ship in January 2011.
- We have placed a test unit in a Hypermarket in Ecuador, which, according to executives there, has performed so well they are proceeding to order 300 of our Skylights to complete the store. They have an additional 20 stores.
- In November we completed our first of 40 buildings they expect to be retrofit with our Smart SkylightsTM at the world famous Columbus Zoo in Ohio.
- Fresh & Easy Markets, a nationwide chain of British-owned supermarkets, has approved the use of our Skylights at their new store location in Bakersfield, CA. Fresh & Easy has 163 markets in the U.S.
- In Bolivia, we are very close to a deal for our commercial Smart Skylights™ at three international airports.
- San Diego Gas and Electric is interested in 17 of our Smart Skylights for one of their facilities.
- FBB Manufacturing in Richmond, CA is looking to purchase 100 of our units for their industrial warehouse.
- The US Naval Facilities is interested in 20 of our Smart Skylights for an airport hangar in Nevada and will also be retrofitting their Headquarters in San Diego with our Skylights.
- BD BioScience is currently installing 27 units for their office building in San Jose, CA.
- Whole Foods Market is currently installing 48 units for their new store in Houston, TX.
- Penn Field Building J, in Austin, TX, will be installing 14 units.
- Mitchell Park Library & Community Center in San Francisco, CA is interested in 6 of our units.
- I mentioned in a previous letter to shareholders, that Ciralight had made a presentation to 100 Los Angeles County Parks and Recreation managers. I am pleased to report that we expect an order for installations at a number of yet to be determined Park gyms.
- Los Angeles Harbor College will be installing 13 of our New 4x8 Smart Skylights™ units next year. Our Smart Skylights are in the plans for three additional LA Community College campuses.
The most important outcome of all the recent sales efforts is that Ciralight is proving itself to be a true competitor with two of the biggest names in the skylight business - Solatube and Sunoptics. In each of the cases listed above, Ciralight has won the project because of its advanced technology and superior performance, allowing our Company to surpass the competition. Specifically, in the case of Solatube, they require four skylights to produce the same energy-saving light results that Ciralight produces with just one Smart Skylight™. SunOptics, another passive daylighting system, is not able to track the sun, utilizing a static prismatic lens, and just does not compare with Ciralight when it comes to results.
With this communication, I would like to introduce our newest employees. Tom DeVoss, Senior Designer, is an architect who will provide Technical support for our dealers and customers and will assist them on any questions regarding installation and specifications. Tom will assist our Dealers and Distributors with building layout of our Smart Skylights as well as with presentations and technical support issues. Tom DeVoss is a LEED AP and is our point man for Architects and Engineers.
The emphasis on energy-efficient "Green" buildings, maintenance and sustainability make our Smart Skylights™ a very desirable addition when architects and builders are planning new construction.
Eileen Barkley is our Director of Dealer Customer Service and will assist Cliff Keddie in Business Development by supporting our USA Domestic Dealer Network; meeting with and solving questions for our customers in terms of training, marketing, expediting sales and providing ongoing promotional support.
Jason Brain is at work creating a social network presence for the Company and has already established Ciralight on Facebook, Twitter, Linked-In and Flickr, allowing us to reach out to millions of prospective customers with a 'Smarter Skylight' Blog on Tumblr, testimonials, news, and pictures of our various lines of Smart Skylights™. Watch for the unveiling of a completely remodeled website coming soon, too!
We continue to add between one and three new dealers each week. Just this week we signed Matrix Roofing and Mike's Building Corporation as new dealers. We welcome them to our dealer team. Additionally, we continue to make progress internationally. Last week, Roei Shimon, CEO of Zeev Shimon & Sons Ltd., our distributor for Israel, was in town and visited our warehouse in Corona.
I previously mentioned we were in negotiations for a strategic dealership agreement with Progressive Roofing and have, in fact, concluded it. Progressive is a four-state, 8-office design/build and maintenance company responsible for such projects as the Phoenix Cardinals Stadium in Glendale, AZ, the Palo Verde Nuclear Plant in Tonopah, NV, Hartsfield Airport, Atlanta, GA, the Westin Casuarina Resort in Grand Cayman, Bahamas, and many more trophy buildings.
We also added Denver-based AIA Industries, Inc., a leader in the custom manufacture of quality plastic and structural glass skylights for residential and commercial applications, to distribute Ciralight's sun-tracking GPS Smart Skylights™ in addition to their own line of standard and circular skylights. This is significant because AIA makes their own custom line of skylights and decided to become a dealer for Ciralight because they feel that our Smart Skylights™ technology is the future of eco-friendly, energy-saving, natural light for businesses and homes.
They join our other international dealerships in Spain, El Salvador, Canada, South Korea, Turkey, Europe, Israel and Denmark. We are currently in negotiations with companies in Japan, Indonesia, Brazil, Columbia, China, Bolivia, Chili, and Poland.
With the new year, I will write a company blog, available on our website, which from time to time will bring shareholders up to date on events in the Company as they happen. Watch for it!
Many shareholders ask when we will begin trading shares on the stock market. We are close to that event and should be able to give guidance shortly.
We take the value of our equity seriously. We are in discussions with potential financing sources which have discovered our unique product line. Such discussions could result in increased liquidity and will assist us in potential acquisitions and strategic alliances.
Also in the new year, we expect to begin selling our Smart Skylights™ for homes, which, like our commercial Smart Skylights™, will be eligible to receive federal, state and local tax credits and utility incentives as an Energy Saving Green product. Our home Smart Skylights™ will deliver the same benefits as our commercial Smart Skylights™, such as high intensity, natural lighting and improved health conditions. We have now also completed development of our new 4ft x 8ft Smart SkylightTM, the Suntracker ThreeTM, and are already receiving orders for this newest addition to our product line.
As a reminder, looking back at a very productive year, we released a new upgraded version of the GPS Controller and completed enhancements that make our Smart Skylight system even more robust and increase the lighting output. Our GPS Controller and Smart Skylights now offer a 30+ year life expectancy, and since the release of the new upgraded GPS Controller, the performance reliability for controllers shipped in 2010 was 99.997%.
In 2010, we went back and re-did many of the projects previously completed by the former Ciralight Inc. with our new GPS Controllers to ensure all current and past clients are satisfied Ciralight Global customers.
Also, in 2010, we completed new installations at the Columbus Zoo in Ohio; Market of Choice in Corvallis, Oregon; Fanshawe College and Northern College in Canada; LG facilities in Turkey; Sahurita High School Gym and Riverside Elementary School in Arizona; Johnson & Johnson in Mexico; Emerson in Mexico; and Boeing in Los Angeles, to name a few.
We continue our dialogue with the U.S. Army Corp of Engineers, City of Los Angeles Mayor's Office, City of Los Angeles Building & Safety Department, California Institute of Technology, American Honda Motor Co., U.S. Naval Facilities Command, Toyota Motor Sales USA, Parsons Construction Co., Turner Construction Company, Los Angeles Community Colleges District, Los Angeles Unified School District, NASA, University of Alabama, Los Angeles County, and others.
Ciralight's existing customer base, such as certain locations of Giant Foods, Office Depot, Ace Hardware, Emerson, Boeing, Johnson & Johnson, Staples, Whole Foods, Walt Disney Studios, and others, continue to evaluate the results they have achieved in lowering their costs of energy, and are either adding more locations or are in the process of doing so.
Once again, Ciralight believes that while there is competition out there, none compares to our Active Daylighting product line at the current time. Our patents protect Ciralight Global's advanced technology. Our technology and distribution advantages will be maintained through our continued growth and development.

Ciralight Global spent some time in Huntsville, Alabama this past week exhibiting our Smart Skylight at Inline Electric's latest event; their annual Energy Efficiency Expo. We are proud to mention that Inline Electric is a dealer of Ciralight’s skylight products.
Held at the Davidson Center for Space Exploration within NASA's U.S. Space and Rocket Center in Huntsville, Alabama, Inline’s Energy Efficiency Expo showcased many of the lighting industries finest products. While the show mainly consisted of electric lighting products, Ciralight's Smart Skylight stole the show with its technological design and ability to transfer sunlight indoors without the need to convert solar or thermal energy into electricity.
Great contacts were made with influential groups, we learned a lot about some very interesting and exciting lighting products, and a lot of fun was had, as well. Thanks to the great people at Inline Electric for putting on a wonderful event and welcoming Ciralight further into their family.
Very exciting times here at Ciralight Global Inc. We have just sent out our first 4'x8' Suntracker III shipment all the way across the Atlantic to our good friends at Ciralight Europe. The picture below displays what 25 4'x8' and 75 4'x4' skylight frames, along with the corresponding GPS controllers, Mirrors, and Accessories, looks like when it's all packaged up, ready to go.
We look forward to shipping out many more orders of our Suntracker III Smart Skylights and lighting the world with natural daylight. With our new SunTracker III, the daytime's the limit!
Ciralight Global CEO Jeff Brain was in Medellin, Colombia recently to discuss the implementation of daylighting into new building and retrofit projects with Grupo Exito, one of the largest retail companies in Colombia. While there was no immediate decision to report of, discussions went very well and interest in our Solar-Tracking skylights was very high.

Los Angeles Mayor Antonio Villaraigosa has announced the beginning of a new chapter in the cities quest to lead the world in sustainability. Utilizing energy efficient, renewable technologies, the Mayor declared his vision to retrofit Los Angeles’ existing facilities; which will include the application of Ciralight’s Smart Skylights for daylighting.
Speaking from Vineyard Recreation Center in Los Angeles, site of the first planned city retrofit, Mayor Villaraigosa commended the movement to “green” the city as a means of creating jobs today and a brighter future tomorrow. Among the many in attendance were Ciralight Global CEO Jeff Brain and Ciralight’s SunTracker Smart Skylight (on display), as well as the people of BEST Contracting, a local nationally-ranked contracting firm and dealers of Ciralight’s skylight line of products.
Keep an eye out for Ciralight Global’s Smart Skylights as they begin appearing in Los Angeles’ facilities and start to shine some light within the infrastructure of the City of Angels.
As if a 30 year life cycle wasn’t good enough, Ciralight has recently begun upgrading the GPS Controller to include a more efficient Super Capacitor, streamlined Mother Board, new USB Hookup, and a new ‘Reset’ Button.
These changes emphasize Ciralight’s continued dedication to evolve with the availability of new, efficient technologies and also to make our Smart Skylights even more user-friendly during installation and repairs. The upgrades will take effect in the near future after further testing, but is something we look forward to unveiling when complete. Stay tuned for further details.
